Tips for a Better BOD Meeting
Last night's BOD meeting was better, but any gain faded toward the end of the meeting.
Rules for the meeting were announced. Then they weren't followed.
Follow Robert's Rules of Order
When the Minutes were to be approved, it appeared that Director Tanisha Holmes had a question or objection. The Board President said her issue was tabled. Then the Board voted to approve the Minutes. What was her issue? The Board President never returned to Holmes' issue. The vote to approve the Minutes should have been delayed, pending resolution of Holmes' issue. Yet no one called a Point-of-Order. (So much for Robert's Rules of Order.)
Mention that the audience will not ask questions during the committee reports. Questions can be asked during public participation.
New Collection Policy
A new Collection Policy was announced. It's about time. Accounts Receivable, as of 3/31/2026, are $564,833.57! What is the "new" policy and where can it be read?
Nominating Committee
It was announced that Angelo Turley-Moore will chair the Nominating Committee. How and when was that appointment made? It was after March 3, 2026 and must have been in a private, closed, "secret" meeting. The appointment should have been made in a public, open, Regular Board Meeting and approved by the Board.
Questions from Audience
The Board President should direct Committee chairpersons NOT to ask, "Any questions?" If they do, stop them and explain to the audience that its questions can be asked during Public Participation.
Here are some more tips:
Hold the microphone up to your mouth. Check the volume by watching your audience. Board President to remind speaker to hold the microphone up.
The Committee reports are made to the Board. The audience observes and listens. Only Board members ask questions of the committee chairman during the report. Why were questions from the audience allowed?
Control Questions and Time
The audience is to ask their questions during Public Participation. When Public Participation begins, then read the rules. Two minutes. Board may or may not respond. If question should go to a committee or the office, the Board President will so direct. Appoint a time-keeper. Two Minutes! No discussion or back-and-forth with the committee chair unless allowed by the Board President. Next Question...
Property Manager's Report
The Property Manager's "Report" was incomplete. She rambled. She could not be heard, because she didn't hold up the microphone. She engaged in one-to-one discussion. The Board President should have cut that off.
She mentioned "parking in the streets" three times. Are Violation Notices being issued for parking in the streets? Why didn't she report how many violation notices were issued and what for?
She didn't explain why Financial Operating Results have not been published since August 2025? She didn't explain why the March 3, 2026 BOD Minutes hadn't been published.
The delay in publishing the 3/3/26 Minutes may be because the BOD decided not to publish them until approved in a BOD Meeting. A delay of two months is too long!
The Property Manager's Report was not included in the packet that was distributed.
Provide accurate, honest answers.
A valuable question was asked by a "recognized" Voting Member. She did not get an accurate answer.
The Board finally admits that those people who "got signatures" to become Voting Members are NOT LEGITIMATE, DULY-ELECTED Voting Members. They have a legal risk and liability for acting as representatives of their neighborhoods, if they were not duly-elected in a valid Neighborhood Meeting (quorum present) in compliance with the By-Laws. THAT is what the Board President should have explained. Anything else is short of a full, accurate answer.
At this time there is only one legitimate Voting Member who was duly-elected in compliance with the By-Laws. That's Tracy Manderino, the Voting Member for Barony Place.
The Board and the office should not insert itself in the Voting Member business, except to appoint a (HOA) Neighborhood Committee and make sure it does its job.
The Board itself is not legitimate, because they were not duly-elected by bonafide Voting Members.
The Board President referred to the attorney's advice about de facto status for previous actions and that they "might stand". Yes, they might. And they might not. The Board hasn't done anything meaningful in six months to correct the most-serious errors in Association governance.
Neighborhood Committee
The (HOA's) Neighborhood Committee offered no report. This committee is essential. Mary Ann Game was listed on the Agenda as the speaker. Is she the chairperson? When did that happen? She was never appointed by the Board President in an open public Board Meeting or approved by the Board. Her written Report should have been submitted and read to the Board last night.
$126,351.61 Annuity
There was no mention of the annuity purchased in 2024 or who the Annuitant is. That was a terrible "investment" by the HOA. What is its true value (Net Surrender Value) at this time? Who was responsible for that decision? Why haven't the Members (homeowners) ever been fully informed?
