HOA Treasurer passes away

 Long-time treasurer of The Summit HOA, George Reynolds, passed away yesterday. 

The office announced that today's Board meeting has been postponed until Tuesday, April 13, 6:30PM.

Reynolds ruled the Finance Committee and was thought by some to be the de facto president of the HOA. He was also in charge of the Voting Members, although the actual case is that the Voting Members are supposed to be in charge of themselves. Neighborhoods were allowed to skip the annual meetings that are required in the By-Laws and did not elect Neighborhood Committees, from which the Voting Member and two Alternates were to be selected.

That should change with the Board's appointment of a new board member to replace Reynolds, election of a new Treasurer and appointment of a new board member to guide the Voting Members, who are also known as Neighborhood Representatives.

The By-Laws dictate how a board member is chosen to replace George on the board and how a new Treasurer is elected. Article 3, Section 7, Paragraph 2 states "In the event of the death, disability, or resignation of a director, a vacancy may be declared by the Board, and it may appoint a successor."

The "it" is the Board, not the Voting Members.

Article IV of the By-Laws governs the officers of the HOA. Section 2 reads "A vacancy in any office arising because of death, resignation, removal, or otherwise may be filled by the Board of Directors for the unexpired portion of the term."

Those procedures should be transparent to the 2,500 homeowners of The Summit properties.

The Board should appoint a new Director, and then the seven Directors should vote to elect a new Treasurer. Hopefully, from now on the Treasurer will be identified in the monthly Board Minutes, which has not been the current practice. Reynolds was listed as Director, but not as Treasurer.

If I were to guess, I'd guess that the Board will call an emergency meeting and make some decisions out of public view, such as are done at pre-board meetings the week before the regular monthly meeting. The community is entitled to hear the discussion that is held at pre-board meetings, so that voting on motion at the regular meeting is understood.

If they do, will at least one board member rise and object to an "emergency" meeting? There is no emergency.
