Nominating Committee of the HOA

At last night's Board meeting, questions were asked about the Nominating Committee.

At the September 10th Board meeting, the President announced that Patricia Pollin had agreed to chair the committee. I wrote recently that she is a nice person, but she is the newest member of the Board.

A person in the audience asked how many people are on the Nominating Committee and how they were chosen. Patricia began to search through papers in a file and never did say how many are on the committee. After a month, she should have know the answer. Five are on the committee (Michael Bryant, Carmen Claud, James Glenn, Jeff Lummel, Kristie O'Brian). The members of the committee are supposed to be appointed each year, but the HOA has been sloppy about doing that.

Danny provided part of the answer but could not be heard in the room, because several people were talking at the same time. A man in the audience could be heard saying,  "The chair makes the decision who is on the committee." 

The correct answer is, "The nominating committee chairman is named by the SCA Board President at the officer election meeting. The nominating committee members are selected by the chairman. All nominating committee members are approved by the BOD." (PRM, Art. III, §H, ¶1) 

So, the chair chooses the members, but the Board must approve. So the Board actually makes the decision.

That "officer election meeting" was on November 10, 2023, and no Nominating Committee chair was appointed. The President was months late in appointing the chair.

The problem is that no one knows the rules, so the rules don't get followed. 

The President was new to the Board in November 2023. 

If the HOA had a professional HOA management company with an experienced on-site property manager who was knowledgeable about the CC&Rs, the By-Laws, and the PRM, that person would guide the President and the Board members. This HOA hasn't had that in the past and does not have that now!

The huge problem facing the HOA is that the Nominating Committee is going to go through the Motions of creating a slate of nominees, but the HOA will be unable to have a legitimate election of directors on November 12, 2024.
