What is your Board of Directors up to?

On Wednesday night. April 22, 2026, the Board met with ad hoc committee that is reviewing the Governing Documents. 

First of all, there isn't even a legitimate, duly-appointed "ad hoc committee". It's my recollection that Danny Trapp formed it. It was never voted on or approved by the Board of Directors. I believe there is nothing in the Minutes of any Regular Board Meeting about it. No members or chairman were ever mentioned. Therefore, it is not a legitimate committee.

My recollection is that the Covenants Committees spent years reviewing the Governing Documents. They were presented twice to the Board. In November 2023 the new board, in response to a question, said that the previous board had not turned over the recommendations for amendments to the new Board. No one asked why not or apparently made any effort to obtain them!

My recollection is that Danny Trapp created the ad hoc Committee and said that, after the Board reviewed the proposed amendments, then the ad hoc Committee would review everything and send it to the attorney. I believed that to be the wrong process.
 
It is the Board's job to finalize the proposed amendments. They then should be sent to the attorney with the question, "Is there anything wrong with these?" Otherwise, the Board is handing the attorney a blank check to spend many hours slowing looking things over.

There is some scheme underway to allow Members (homeowners) to elect directors, rather than the current method of electing directors by Voting Members, as stated in the By-Laws. If you think things are bad now, they would be ten times worse with Members' directly electing directors. 

That change in the By-Laws cannot be made, because there aren't enough legitimate Voting Members to vote on it.

There is also some opinion by some on the board that the November 2025 election of directors was not valid.

I've got news for that group of dissidents on the Board. There hasn't been an legitimate election of directors for many years. No one on the board, including the dissidents, is a legitimate, duly-elected Board Member. NO ONE!

The State of South Carolina should take over control of the Association until such time as a legitimate Board can be elected by legitimate, duly-elected Voting Members. Placing The Summit's HOA in Receivership would protect the interests of 2,480 homeowners.

Now there is a claim that the May 2025 Barony Place Neighborhood Meeting was not legitimate and that there are NO legitimate Voting Members.

What the dissidents are doing is buying the rope for their own hanging. They'd be better off fixing the problem (populating the HOA's Neighborhood Committee and assisting 27 Neighborhoods to elect t heir Voting Members), instead of ragging on the one neighborhood that did comply with the By-Laws and which does have the ONLY legitimate, duly-elected Voting Member.

That's Barony Place, where I live. I helped the neighborhood to have a quorum at its meeting.

And the final straw is a topic discussed Thursday night, April 23, when the Board met with some of the Voting Members. Apparently, not enough VMs showed up for them to have a quorum. I haven't uncovered the details of that topic yet, but I shall.

YOU can request to inspect the Minutes of both meetings (April 22 and April 23). File your written request with the office and request them to produce the Minutes to you within ten days. 

At the Board Meetng on May 5 (6:30PM at North Springs Park Community Center), ask the Board to disclose all the topics of discussion at the April 22nd and April 23rd meetings.
