Questions for the HOA

Here are some questions that Members (homeowners) might ask the Board of Directors on March 3rd:

Q1. What concerns did a Board member have about the recent election process? Were there election irregularities in November 2025? Did the HOA fail to comply with the Governing Documents? What needs to be corrected before the next election cycle (November 2026)? That was "New Business" in January. Why wasn't it "Old Business" in February?

Q2. Why wasn't the 2024 Annual Audit ordered long before October 7, 2025? Should it have been ordered in January or February, 2025? Why did the Board pick a Greensboro, N.C. CPA to do the Annual Audit for $7,039? (The 2023 Annual Audit cost $3,700 (paid in Oct. 2024.) What is the deadline for receipt of the 2024 Audit? It was due by August 31st, according to the PRM.

Q3. What, exactly, is the Board doing about getting duly-elected Voting Members in place for 27 Neighborhoods before November 2026?

Q4. When will the Board President nominate a chairperson for the (HOA's) Neighborhood Committee, who must be approved by the Board? Will the (HOA's) Neighborhood Committee be required to pursue its Mission, as stated on the HOA's website?

Q5. When will the Board President nominate a chairperson for the Nominating Committee, who must be approved by the Board? That should have been done on November 18, 2025.

Q6. How can the HOA amend the CC&Rs and the By-Laws without enough duly-elected Voting Members to represent 75% of the property owners?

Q7. What is the true status of the Reserve accounts of the HOA? When was the last written audit of the Reserves?

Q8. Why have no monthly financial reports been posted on the website since August 2025?

Q9. Is the Board of Directors committed to complying with the CC&Rs and the By-Laws, unless and until they are legally amended?

Q10. Does the Board consider residents (non-homeowners) to be second-class citizens and to be excluded from participating in meetings and on committees?

Q11. Should the Board report (in writing) to Members on the total cost of the lawsuit against Gus Philpott (me)? Since the Board never approved it (and was prohibited from approving it by the CC&Rs), should the HOA recover its payments of legal fees and costs? From whom should the HOA attempt to collect? From

  • Danny Trapp, past-president of the HOA, who started the lawsuit without approval or authority of the Board?
  • the Treasurers of the HOA for allowing payments without challenge?
  • any Director who did not object to the use of HOA funds for a lawsuit that was prohibited by the CC&Rs?
  • CAMS?
  • Town & Country?
  • Law firm of Turner Padget?
