ad hoc Committee?
What is the ad hoc Committee of The Summit's HOA?
If there really is such a committee, it should be known to ALL board members. The committee should have been established with the advice and consent of the Board, and the members and chair of the committee should be known to all.
The Board should have voted to create it and to confirm the appointment of a chairman of it. Its establishment should be recorded in the Minutes of a BOD meeting, and it should be listed on the HOA's website and in The Summit Scoop.
It's not a secret committee. There should be Minutes of its meetings, and the Minutes should be published and easily accessible.
It should have a specific purpose, known to all, and it probably should have a pre-determined duration.
The Minutes of the November 7, 2023 Board meeting include this statement: "The Ad Hoc Committee will hold an orientation of the board members on November 11th."
That certainly was not a duty of the ad hoc Committee. Who authorized that?
At one time in the past an ad hoc Committee was formed to review the CC&Rs and the By-Laws and to present recommendations. Vicki McCarthy was on it. As I recall, it was formed right after Vicki quit the Board in February 2023, even though she had just been elected to the Board three months earlier on November 1, 2022. No reason was ever given for her early departure.
What was the discussion last night about the procedure for Board approval of amendments to the CC&Rs and the By-Laws?
Was it explained as Covenants Committee to the Board to the ad hoc Committee to Legal, and then back through the ad hoc Committee to the Board?
Why is the ad hoc Committee between the Board and Legal? It seems to me that the ad hoc Committee would make suggestions on changes to Governing Documents to the Covenants Committee, which then makes recommendations to the Board which, after serious discussion and understanding, sends them to Legal.
The Board had better raise dues $50/property ($124,000) just to pay the HOA's legal bills!
