If I Were on the Board...
... and the HOA was engaged in a lawsuit that was prohibited by the CC&Rs and was paying out money almost every month for legal fees for a lawsuit that was never approved by the Board, there are several actions I would take -
- at every Board meeting I would make a statement that the Board was engaged in a prohibited lawsuit and that it needed to get out of it;
- I would request that my statement be included in the Minutes of the Board Meeting;
- I would make a statement that the Board of Directors is bound to comply with the CC&Rs and the By-Laws;
- I would object to the payment of any HOA funds to lawyers who were doing any legal work in connection with the prohibited lawsuit;
- I would make a Motion at every board meeting for the board to dismiss the lawsuit;
- I would request a recorded vote by-name on my Motion to dismiss that lawsuit, so that it would be crystal-clear who voted to stop the lawsuit and who did not vote to stop the lawsuit.
