No Quorum at Sept. 2nd BOD Meeting
When the September 2, 2025 Regular Meeting of the Board of Directors was to convene at 6:30PM, Board President Danny Trapp was not present.
His absence meant that a quorum (4) was not present.
Present were directors Tanisha Holmes (VP), Brenda Bryant, and Linda Potter.
Also present were Patricia Pollin, William Hill, and Noel Weatherbee. None is a legitimate member of the Board.
In November 2023 Pollin was appointed to the Board, even those she was not eligible to be appointed. She was not a Member of the Association (name on the Deed) and was not the spouse of a Member. She has been allowed to sit on the Board for almost two years!
On July 1, 2025 the Board held what they called an "executive session" before the Regular Board Meeting started at 6:30PM. That meeting was actually a pre-board meeting or workshop. It was not an official Executive Session.
At that pre-board meeting (workshop) something took place. Who knows exactly what?
When the Regular Board Meeting started, it was announced that William Hill and Noel Weatherbee had been appointed as directors (to succeed Ciara Bates and LaToya Adams, both of whom had resigned in May (following their election in November to 2024-2026 terms-of-office)). It was also announced that Hill would be Treasurer and Weatherbee would be Secretary.
Hill and Weatherbee were not duly-appointed during the open, public, Regular Board Meeting on July 1st. Because they were not, they cannot be officers of the HOA.
There was no vote by the Board to appoint Hill and Weatherbee during the Regular Board Meeting. There was no election by the Board to make Hill Treasurer or Weatherbee Secretary during the Regular Board Meeting.
Why did Board President Danny Trapp allow that to happen? Isn't the President supposed to know how business gets conducted?
There are three vacancies on the Board, and the HOA does not have a legitimate Treasurer or Secretary. Both of these offices are required by the Code of Laws of the State of South Carolina.
There was no quorum present on September 2nd, and no Board meeting should have been convened due to the absence of the Board President and the three vacancies. Any business conducted (votes) at that meeting is not valid.
A Parliamentarian would have informed Tanisha that she could not conduct a Regular Board Meeting that night.
