Waiting for the August Board Minutes

The Summit's HOA Board of Directors met on Tuesday, August 5, 2025.

At that meeting the Covenants Committee addressed the Board about the lawsuit against Gus Philpott (me).

I wasn't there, of course, to hear their comments.

Will their comments be fully reported and accurately in the Minutes of the August 5, 2025 Regular Meeting of the Board?

Did the Board address the issue of improper, non-compliant action to appoint Noel Weatherbee and William Hill as Secretary and Treasurer, respectively?

At this time Weatherbee and Hill are not legitimate, duly-appointed Board members, and Weatherbee and Hill cannot serve as Secretary and Treasurer, respectively.

This means that the HOA is in violation of State law that requires a non-profit corporation to have a (legitimate) Secretary and Treasurer.

Plainly speaking, Weatherbee and Hill are usurpers, impostors of the office of Director and also as Secretary and Treasurer, respectively.

The "executive session" was not a legitimate Executive Session. Appointments and elections (decisions) cannot take place in executive sessions. 

No bonafide appointment of Weatherbee or Hill took place in the open July 1, 2025 Regular Board Meeting. No vote on their appointments was taken in public. 

No election of Weatherbee as Secretary or Hill as Treasurer took place in the open July 1, 2025 Board Meeting. Directors did not vote to elect those officers in the Regular Board Meeting.

Are Weatherbee and Hill now acting "as if" they were duly-elected? They should not be. They should be demanding to be installed properly as Directors and Officers.

Why is it so hard for this Board of Directors to comply with the By-Laws, State laws, and Robert's Rules of Order? Probably, for the same reason that past Boards of Directors failed so often to comply with the By-Laws.

You've heard, "Where there is a will, there is a way." At the Summit's HOA, there is no will.
