Will BOD Report Fully to Members?
How much did the HOA spend to sue Gus Philpott? $25,000? $30,000?
Will the Board of Directors report to the Members what the total cost was?
On behalf of their neighborhoods and the Association Members, the Voting Members should demand a report. If they don't, then the Members should demand it. But will they?
The Secretary and the Covenants Committee should lead the charge and prepare a well-documented, written report and present it to the Board in an open, monthly Board Meeting. And then post it on the HOA's website.
It started when Danny Trapp had the lawyer send me a Cease-and-Desist Letter in August 2024. There is no record in Minutes of Board Meetings that the Board had authorized that.
When I contacted the lawyer to inquire what it was all about, he refused to communicate with me about it. I knew legal action would follow. In December 2024 Danny had the lawyers file the litigation against me in the name of the Association but without approval or authorization of the Board.
What Danny and the lawyers didn't realize was that I grew up playing hardball. Game on!
The report should include why no one on the Board challenged Danny about it. Were all six directors kept fully informed through the litigation? Were some of them kept in the dark? Why didn't they speak up in meetings and go "on the record."
Didn't the directors (other than Danny), including the Treasurers (LaToya Adams and William Hill), think there was anything wrong with paying the lawyers' bills for legal work that the Board had never approved?
Since the lawsuit was started in violation of the CC&Rs and was never approved by the Board, didn't any of the directors question the illegitimate disbursement of HOA funds to pay the invoices from the law firm? Why did no one question it at a board meeting after the Covenants Committee informed the Board on August 5, 2025 that the litigation violated the CC&Rs.
Why should the Members (homeowners) take it on the chin? Should the HOA sue Danny Trapp?
Did CAMS ever object to the lawsuit and paying the bills? CAMS had contracted with the HOA; i.e., was it duty-bound to the Members? How did it do in meeting its fiduciary responsibility under the contract with the HOA?
