7/1/25 HOA Board Meeting - Lots Wrong!
The HOA still has five directors (really only four) and no Secretary and no Treasurer.
Based on information received from several people who were there, the Board met in "executive session" before the Regular Meeting started. That's a misnomer, because it wasn't an executive session!
If it was called as an "Executive Session", then the rules (Robert's Rules of Order §9:24) for entering Executive Session were not followed. The correct procedure is to start the Regular Meeting, hear and vote on a Motion to enter Executive Session for a stated purpose, recess and meet in a private setting, and then leave Executive Session and return to the Regular Meeting. No appointments are to be made and no elections are to be held in Executive Session!
I didn't personally observe what happened when the Regular Meeting started.
I did learn that there was no discussion of Patricia Pollin's ineligibility to be on the board (or to be present in Executive Session or to vote on any appointments or in any election of officers). Why not? Didn't any Board member bring that up? Why didn't the Vice-President bring it up?
It was announced that William Hill and Noel (Noell?) (last name?) were appointed as Directors to succeed Ciara Adams and LaToya Adams, both of whom resigned in May.
The Board needed to vote in public on those appointments, after proper nomination and discussion. It didn't. There should have been a public, recorded vote of the Board on those appointments to serve the unexpired terms of 2024-2026. Had that been done correctly, the Board would have once again had seven directors.
But it was not done correctly, and Hill and Noell did not become Directors.
Then it was announced that Hill would be Treasurer and Noell woould be Secretary. Only that couldn't happen, because they weren't properly appointed to become directors!
So the HOA still has five directors, one of whom is not legitimate, and no Secretary and no Treasurer. State law requires a Secretary and a Treasurer.
