Will the "new" Directors Assert Themselves?

At the July 1, 2025 the HOA attempted to install two new Directors by appointing them.

The procedure failed.

William Hill and Noel Weatherbee are not the new Directors, even though they were introduced as such. And they are not the Treasurer or Secretary of the HOA.

To protect themselves from personal liability, they should insist that correct parliamentary procedure be followed. Otherwise, they are usurping the office of Director and the offices of Treasurer and Secretary, respectively.

The appointments (and therefore, the elections) were done in a private, closed, pre-board meeting that was incorrectly referred to as an "executive session*". The appointments and elections were not conducted in the open, public, monthly Board Meeting on July 1.

At the August 5, 2025 Regular Monthly Board meeting the President (Danny Trapp) should call for nominations for appointment of Directors to fill the two vacancies. Then the Board should vote - IN PUBLIC. 

After two directors are appointed to succeed Ciara Bates and LaToya Adams, who both resigned in May, the President should announce that an election of two officers will take place and ask for nominations for Secretary or Treasurer. Then the Board should vote on  one officer - IN PUBLIC. Then the second officer should be elected - IN PUBLIC.

Then the new Directors (2024-2026 term of office) and the new Officers (Secretary and Treasurer, serving until November 4, 2025) will have the legal protections extended to fiduciaries, as long as they conduct business properly.

Will Hill and Weatherbee insist that the HOA install them correctly, if they happen to be the ones nominated on August 5th?

For the purpose of this post, I'll temporarily overlook the fact that none of the other directors (Trapp, Holmes, Bryant, Potter) was elected (or, in the case of Pollin, appointed) properly.

* Why wasn't it an executive session?
  • Notice of it was not given;
  • It was not listed on the Agenda;
  • It was conducted before the Regular Meeting started;
  • Appointment of Directors and Election of Officers are not permitted exceptions for "executive sessions";
  • Actions taken in "executive session" are confidential, yet they were promptly announced at the open meeting.
