When the Board of Directors (BOD) fails, whose job is it to fix it?
The Voting Members of the HOA are the ones who elect board members and who can remove them.
This is the reason that the HOA must have legitimate Voting Members, elected in compliance with the By-Laws. And they should pay careful attention to what the BOD is and is not doing.
A Voting Member represents his neighborhood. His vote can legally bind the homeowners in his neighborhood. That's why he should be elected, as required in the By-Laws, not hand-picked.
Many may not know this, but there was a time when the Voting Members actually did remove a director from the board. When that happens, they then elect a replacement.
There are too many times when the BOD votes unanimously on Motions. When a director votes NO, s/he should be certain that the Minutes reflect his or her NO vote.
Directors should demand that Board meetings be run in a professional manner. The meetings can be fun and short, but the business of the HOA is serious.
The Neighborhoods need to elect Voting Members in compliance with the By-Laws. Right now, only Barony Place has a legitimate Voting Member. The HOA needs 27 more.
