Does HOA Have Any Officers?

Does the Summit's HOA have any officers (legitimate or not)?

No officers were announced at tonight's meeting. And no Board or Committee chair raised the issue. 

The Board of Directors met on November 12, 2024 for its Annual Meeting, as it was called. Not one word was said about electing new officers. Nothing was said about an Organizational Meeting.

It is believed that the Board met on Friday, November 15, in a Special, closed, private, secret meeting that was never announced to the Members of the HOA. That may have been the Organizational Meeting. They may (or may not) have elected officers.

The December monthly Board meeting was tonight. Not one word was said about officers. The announcement of the officers for 2024-2025 should have been the very first order of business.

According to the By-Laws (Art. III, §B, ¶8), 
Organizational Meetings. The first meeting of the Board of Directors following each annual meeting of the membership shall be held within ten (10) days thereafter at such time and place as shall be fixed by the Board.

Officers are to be elected according to the By-Laws (Art. II, §2)
Election. Term of Office, and Vacancies. The officers of the Association shall be elected annually by the Board of Directors at the first meeting of the Board of Directors following each annual meeting of the Voting Members, as herein set forth in Article III.

The Annual Meeting of Voting Members was held on November 12, 2024 at 6:00PM. 

The first meeting of the Board of Directors following [the] annual meeting of the Voting Members was on November 12, 2024 at 6:30PM.  

That is when the Organization Meeting and the election of officers should have been held. 

The election of officers should have been held in public at the open Monthly Board Meeting on November 12.

The election of officers should not have been held in a closed, private, secret, unannounced (to the Members) special board meeting. Were there Minutes of that Meeting?

In fact, were there Minutes of the Annual Meeting of Voting Members? I think not.

But this board continues to operate as other boards have. It makes its own rules, and it ignores the written rules; i.e., the By-Laws.
