13 Neighborhoods - No Legitimate Voting Members. More?
According to the November 12, 2024 Minutes of the Board of Directors meeting, 15 Neighborhoods were represented at the BOD meeting. But were they?
Upon information and belief, by my count at least 7 of those 15 Neighborhoods of The Summit did not have a legitimate Voting Member at the November 12, 2024 Annual Meeting of Voting Members (ANVM).
Barony Place had a legitimate Voting Member present, thanks to the May 4, 2024 Neighborhood Meeting.
The November 12th AMVM should not have been convened at 6:00PM without a quorum of legitimate Voting Members. No election of directors should have been conducted. The meeting should have been adjourned without action.
In 2024 the on-site property manager told me that there are no separate Minutes of the Annual Meetings of Voting Members. She told me those Meetings are combined in the Minutes of the monthly board meeting for November. That is an incorrect practice of the HOA. There should be Minutes of every announced Voting Members' meeting.
Clearly, the Annual Meeting of Voting Members (ANVM) is a separate meeting from the Board of Directors meeting. It begins earlier. An election of directors is to be held. On November 12, 2024 the HOA was supposed to elect three directors. It concluded before the Board meeting began.
In November 2024 the AMVM began about 6:00PM. Danny Trapp was in the building and, as President of the HOA, he should have been conducting the meeting. But he wasn't; he was chatting with RCSD Deputy Chief Ashe. The board meeting began at 6:34PM.
In the Minutes of the November 12, 2024 board meeting there is a list of Voting Members (VM) present. What is not clear is whether those were the VMs present at the ANVM or at the board meeting. I believe it may be the list of VMs at the AMVM, because LaToya Adams' name is listed as a VM.
Adams was elected to the board, and her term as VM ended with the election. She was seated at the board table at 6:34PM, although her name (and Ciara Bates' name) was omitted from the list of Board Members who were present. (I pointed out that error to the Board after the Minutes were published, but the Board approved the Minutes without correction at the December meeting.)
The following 13 Neighborhoods were not represented at the November 12, 2024 AMVM: Amaryllis Woods, Autumn Glen (OPEN), Autumn Hill, Autumn Run, Courtyards at Founders Ridge, Indigo Springs (OPEN) , The Lakes at Barony Place, Pineclave (OPEN), Ridge Crest, Summer Chase, Summit Hills V, Waverly Place (OPEN), and Whitney Falls.
The Board has continued to recognize as "Voting Members" homeowners who are not legitimate Voting Members; some have not held Neighborhood Meetings for years; at least one reportedly inherited the office years ago, when a spouse died; others "got signatures" - a procedure unknown in the By-Laws.
When an election is held and ineligible people are allowed to vote, the election is fraudulent. Those who were "elected" do not become legitimate directors. This was true in 2024 and 2023; thus, there are NO legitimate directors on the Board.
If the directors are not legitimate, they cannot elect officers. But they do. Those officers (President, VP, Secretary, Treasurer) are not legitimate. When they conduct business of the HOA, the business transactions become suspect, including banking transactions, legal transactions, retaining lawyers, contract signing, etc.)
State law requires every non-profit corporation to have a [legitimate] board of directors. This HOA does not. Why aren't the board members concerned about this?
