Is the HOA's board of directors interviewing HOA management companies?
The term of the current contact with CAMS began January 1, 2024 and runs for 24 months (until January 1, 2026). If either party intends to terminate the contract during the Term, it must send written notice to the other party not less than 90 days before January 1, 2026.
A previous board could have replaced CAMS on January 1, 2024. The Contract is poorly constructed, which resulted in confusion of the board in late 2023. They could have just allowed the contract to terminate on January 1, 2024. There are obvious problems of continuity of services to members, billing, records, etc. The current board faces the same problems. If they do nothing, the contract will expire. No written notice to CAMS is required.
Has the HOA protected itself in terms of ownership of accounting records? Years ago I recommended that all HOA communications be on its own server, not on CAMS' server.
Is at least one director contacting possible replacements for CAMS?
If that is happening, shouldn't it have been discussed at a monthly board meeting? Should the board have authorized that director to make inquiries? Could it include releasing confidential information, including financial details and homeowner delinquencies?
Should there have been a Resolution by the Board authorizing that director to act?
Does the Board have complaints about CAMS? Has it addressed those complaints with CAMS?
If CAMS has given the Board advice to act in certain ways, or not act in certain ways, how has the Board received that advice?
For example, has CAMS told the Board to comply with the By-Laws regarding Annual Meetings of Voting Members? Has CAMS told the Board whether there is documentation of recent Neighborhood Meetings from 27 of the 28 Neighborhoods in The Summit's HOA? Is Barony Place the only Neighborhood with a legitimate Voting Member?
How do the CAMS employees feel when they hear disparaging remarks about CAMS from Board members? Do they report all such comments to their employer?
