HOA Board has no Secretary. Now Has Vacancy on the Board

If The Summit had a newspaper or an active website, Members would know by now that the HOA has no Secretary and that a vacancy exists on the Board of Directors.

How did this happen? Director and Secretary Ciara Bates resigned from the Board.

What happens now?

The Board must elect a new Secretary. That office is NOT appointed by the President.

The President should announce the vacancy on the Board and begin the process for appointment of a successor to fill the vacancy. Ciara was elected last November to a two-year term, which runs until November 2026. Her successor will serve the remainder of her term-of-office.

One big problem is there is no Chairman of the Nominating Committee. The Summit Scoop has reflected since December 2024 that the committee has no chairman. The HOA's website lists no chairman of the Nominating Committee.* The Nominating Committee has five members (Mike Bryant, Carmen Cloud, James Glenn, Jeff Lummel, Kristie O'Brian), but no chairman. 

Why didn't Danny Trapp, President of the HOA, appoint a committee chairman last November 12th? (PRM, Art. §III, ¶H (1) (Page 22))

Did the CAMS Property Manager urge the President to do so?

Duties of the Nominating Committee include providing "quality candidates to hold office on the Board. Candidates will be of the highest caliber, selected for interpersonal skills, dedication to the betterment of the Association and community, and free of any personal agenda." (PRM, Art. II, B(2) (Page 8))

Further duties include: "As Director vacancies occur or foreseen [sic] to occur, the Committee Chair is notified by the BOD President." (PRM, Art. III, H(2) (Page 23))

Without a Nominating Committee Chair, there is no one for the President to notify, and the process will not start. How will the Board identify a qualified candidate to success the director who resigned?

* Edited 5/25/25. When this article was written and scheduled for subsequent publication, no Chairman of the Nominating Committee was listed on the Summit's website. Patricia Pollin's name now appears again as Chairman. Board Members and Members of the Association should demand an answer as to how that happened. Was there action at the May 6th BOD meeting? Did the Board vote and approve Pollin as Chairman, after her absence for several months? (May BOD Minutes have not yet been published.)
