Who Controls the HOA?

Who has the ultimate control over the Summit's HOA?

The President of the Board (Danny Trapp)?
The Board of Directors (7 homeowners)?
The Voting Members (should be 28*)?
The 2,480 Members (property owners)?

Danny acts like he does, having claimed he is the only one who can talk to the HOA's attorney.

"Team Danny" (Danny and three directors) hold the majority on the Board and can silence the minority three.

* Four neighborhoods (4) don't have any Voting Member at all. Twenty-three (23) neighborhoods do not have a legitimate Voting Member who was duly-elected in compliance with the By-Laws.

One neighborhood (Barony Place) has a legitimate Voting Member. (3.1% of the Association.)

96.9% of the property owners ARE NOT legally represented in the Association. And they don't even realize it!

A few highly-concerned property owners (Members) may have to band together and sue the Association. They could ask a judge to take over the Association and to order the Neighborhoods to conduct elections of Neighborhood Committees and elect Voting Members. They Voting Members could then elect legitimate Directors, who could elect legitimate Officers.

They could also ask a judge to direct the seven directors to personally reimburse the HOA for the legal expenses for the lawsuit against Gus Philpott. 

The lawsuit was initiated in violation of the CC&Rs, without the advance approval of the Voting Members and without discussion or approval of the Board of Directors. The lawsuit has never been acknowledged or discussed by the Board in public. Maybe they did so at one of their private, closed, secret, pre-board Meetings, for which there are no published Minutes.

The lack of attention by Members has resulted in Accounts Receivable (bad debts) of $529,994.30, as of 2/28/2025. And that doesn't include the $118,917.82 that was silently written off a year ago (April 2024) by the Board (during the Presidency of Danny Trapp and without any public discussion or vote).
