Why Can't the Board Understand This?
At last Tuesday's (11/18/2025) Board meeting, officers should have been elected. Why weren't they?
The Association now has no President, no legitimate Secretary, and no legitimate Treasurer. State law requires all three.
Who is running the HOA now? Board Vice-President Tanisha Holmes.
The By-Laws (Art. IV, §2) dictate when the officers are to be elected.
Section 2. Election. Term of Office, and Vacancies. The officers of the Association shall be elected annually by the Board of Directors at the first meeting of the Board of Directors following each annual meeting of the Voting Members, as herein set forth in Article III. A vacancy in any office arising because of death, resignation, removal, or otherwise may be filled by the Board of Directors for the unexpired portion of the term.
The first meeting of the Board of Directors after the AMVM was last Tuesday at 6:30PM. It is not hard to read and understand that Section of the By-Laws. Sometimes, it's just necessary to read each word, one at a time, and maybe even point to the words as you read them.
I jest (but only a little).
Will the Board call a Special Board Meeting? There is no President to do that. It takes four directors to call a Special Meeting. There are four who will.
Will officers be elected in a Special Board Meeting, open to the public (Members and residents)?
Or will they meet, as they have in the past, in a private, closed, "secret", pre-board meeting or workshop and elect officers?
Why not just do it the right way - the way and at the time prescribed in the By-Laws?
Didn't the Town & Country property manager know the rules?
Existing Board members knew, or should have known, the rules. The Vice-President and the Secretary should have known the rules.
Or did the Board know the rules and willingly fail to comply with them? At least one director should have spoken up and said, "The By-Laws say we need to elect officers tonight."
