BOD Failed to Elect Officers

Last night the Board of Directors failed to elect officers at its November monthly meeting.

Why didn't it?

I can tell you what I think the reason is. They don't like conflict. They avoid disagreement. They won't address the dysfunction and irregularities that occur at every monthly meeting.

The By-Laws require that the officers be elected at the Organizational Meeting. (Art. III. B (8)). When is the Organizational Meeting?

"The first meeting of the Board of Directors following each annual meeting of the membership shall be held within ten (10) days thereafter at such time and place as shall be fixed by the Board."

Is the "annual meeting of the membership" the Annual Meeting of Voting Members, at which new directors are elected?

Or could the "annual meeting of the membership" be the November board meeting?

Note that the office announced the November 12th meeting in this way: "This is a friendly reminder that the Annual Board of Directors Meeting will be held on Tuesday, November 12th, at 6:30 pm. The meeting will take place at Brookland Baptist Church, located at 1203 Summit Parkway."

That is NOT an announcement of an annual meeting of the "membership".

The HOA never has a meeting of "the membership (the Members (homeowners))".

If the "annual meeting of the membership" is the Voting Members' Annual Meeting, then last night's board meeting was the first meeting of the Board following that annual meeting. The Voting Members met at 6:00PM. The Board began meeting at 6:30PM. Then the Organizational Meeting should have been called and the election of officers should have taken place - in public.

If the Board meets this Friday to elect officers, it will meet in a private, closed, secret meeting. Will Minutes be kept and published? Will Members (homeowners) have to fight the office, the Board, and possibly its attorney to inspect those Minutes?

The HOA is a South Carolina non-profit corporation. It is not a secret society.
