By-Laws vs. PRM

Two important documents of the HOA are the By-Laws and the Procedures Reference Manual (PRM). What's the difference?

The By-Laws are the formal "rules of the road" for the HOA.

The PRM is the document, written by Boards of Directors over the years, that explains how to carry out the rules of the road.

The PRM cannot reduce the requirements of the By-Laws or change them.

Recently, the BOD added a name to the ballot of an applicant for the Board who was not recommended by the Nominating Committee.

The PRM (Art. III, Section H(12)) reads "If candidates disagree with the Nominating Committee's findings, they may appeal to the BOD."

HOWEVER, nothing follows in the PRM (or elsewhere) that allows the BOD to add the failed candidate's name to the ballot. It just says that the candidate can appeal. OK, maybe, in this case, the candidate appealed. 

The Board doesn't make the slate of candidates; the Nominating Committee does.

Nothing would keep the candidate from contacting the Voting Members to ask for his name be written in on the ballot and voted for. But his name shouldn't be printed on the ballot!
