How did the Board of Directors circumvent the CC&Rs, when the HOA filed a lawsuit against Gus Philpott on December 28, 2024?

One way was by never voting to approve it.

Another way was by never voting to authorize the President to tell the lawyers to file it.

Another way was by never asking the presumptive, "recognized" (but illegitimate) Voting Members to approve it.

Another way was by never asking the presumptive Voting Members to ask the homeowners in their neighborhoods to approve it.

There is nothing in any published Minutes of the HOA's lawsuit against Gus.

Would 75% of the homeowners have said, "Sure, sue Gus Philpott, no matter how much it costs us"?

There is a very good reason for Art. XIII, Section 10 Litigation in the CC&Rs. It's to keep the Board of Directors of the HOA (or a few of them) from running off half-cocked and wasting the homeowners' money.

How much has it cost so far (from August 2024 until now (6/7/25))? It's hard to tell, because the bills haven't been paid. Maybe the April Financial Operating Results will show a big payment on Line 6500. 

The lawyers filed a new court action against me (Gus) on May 28. The HOA is going to try to hold me in Contempt of Court (for actions which the Judge did not prohibit). I'll be posting the date of the Hearing on the HOA's Motion, and I invite you to attend. The bill for May 28th legal fees should be sizeable, as will be the bill for legal fees for a Hearing yet to be scheduled.
