The Next Two Weeks - Critical for the HOA

The next two weeks - from now until July 1, are critical for The Summit's HOA. Why?

Candidates for the two vacancies on the Board of Directors must submit their applications at the office by 5:00PM on Friday, June 20. Unless I missed it, the June Summit Scoop didn't even mention the two vacancies on the Board or call for applications. 

The Property Manager "vets" the candidates. She will determine whether each is a Member in Good Standing (no indebtedness to the HOA), is a resident of The Summit, is a Member of the HOA (is an Owner on the record title of his/her property), or is a spouse of a Member.

There should be complete transparency in the vetting process. The results of the vetting process should be provided in writing to all board members.

The applications of all qualified candidates then go to the board members. Applications of candidates who are not qualified should not go to board members. That decision is the Property Manager's. 

Could the Board over-ride the Property Manager? Sure it could, but it should be a Board action, one not made by a sole director.

The appointment of the new directors should be made at the July 1st Regular Board Meeting, not in the closed, private, pre-board meeting on June 24th.

The appointments must be voted on by the Board. No single director gets to choose the result. This year only four directors should vote for the two candidates to be appointed. Only fully-qualified directors are entitled to vote on appointments. 

This process should be completed in public.

Will it be?

Then, after the appointment of two directors on July 1st, the Board (of six) should elect a Secretary and a Treasurer. An even number of directors (6) leaves the possibility of a tie-vote for an officer. A tie-vote fails. These are very important offices, and they are required by the State of South Carolina. A non-profit corporation must have a Secretary and a Treasurer.

The Board should announce a vacancy on the Board on July 1st, and a successor to the vacant position (2023-2025) should be appointed on August 5th. The position should be left empty fo three months.
